Continous Disclosure and Insider Reporting

 

Continuous Disclosure

Under the Securities Act, after an issuer sells securities to the public, it becomes a reporting issuer and has an ongoing obligation to make continuous disclosure filings, such as interim and annual financial statements, interim and annual management discussion and analysis (MD&A), annual information forms, material change reports, and news releases. Commission staff selects and reviews these continuous disclosure filings for compliance with securities legislation.

Public Documents

All public documents filed by reporting issuers are available to you on the System for Electronic Document Analysis and Retrieval (SEDAR).

All cease trade orders filed by a Securities Commission are available to you on the Cease Trade Order Database (CTO Database).

Insider Reporting

For late filing of an insider report in Form 55-102F2 is $50 per calendar day per insider per issuer, to a maximum of $1,000 in any period from April 1 to March 31, but this fee does not apply in relation to an insider if there is an obligation to pay a late filing fee for a Form 55-102F2 in respect of that insider in a jurisdiction other than Manitoba during the same period;
